1. Agreement to these terms

This website is operated by 16255281 Canada Inc., a company incorporated federally in Canada with its registered office in Ontario, Canada. By using the site you agree to these terms. If you do not agree with them, please stop using the site.

2. What this website is

It describes services we offer and software we have published. It is information, and it is an invitation to get in touch. Nothing on it is an offer capable of acceptance, and nothing on it is financial, legal, accounting or tax advice. Do not make a decision that matters to your business on the strength of a web page — including this one — without getting advice that accounts for your circumstances.

3. Results, figures and claims

Any figures on this site describe our own operating history or the engagements we have run. They are stated in good faith and are not a prediction, promise, projection or guarantee of what your business will achieve.

Advertising performance depends on your product, offer, pricing, margin, creative, market, competition and platform conditions — most of which are outside our control and none of which we can assess from a distance. Ecommerce and paid advertising carry real risk of financial loss, including the loss of the whole amount you spend on media. You are responsible for the budget you commit.

4. Enquiries are not a contract

Sending us an enquiry, and our replying to it, does not create a client relationship or oblige either of us to anything. Any engagement between us begins only when we both sign a written agreement, and that agreement — not this page and not anything said in an email — governs the work, the fees and the obligations on both sides. Where it conflicts with these terms, the signed agreement wins.

5. Intellectual property

The text, design, code, graphics and arrangement of this website belong to 16255281 Canada Inc. and are protected by copyright. You may read it, print it and share links to it. You may not copy substantial parts of it, republish it, or use it to train a commercial model without our written permission.

Product, company and platform names referred to on this site belong to their respective owners, and are used only to identify those products and companies. Their use does not imply any endorsement of us by them, or any affiliation with them.

6. Acceptable use

You agree not to:

  • use the site unlawfully, or to send unlawful, abusive or misleading content through the enquiry form;
  • attempt to gain unauthorised access to the site, its servers or any connected system;
  • interfere with the site’s operation, including through automated requests at a volume that degrades it for others;
  • scrape or harvest content or contact details for bulk marketing.

7. Third-party links and products

This site links to third-party platforms, including the Shopify App Store and the Chrome Web Store, where our products are listed. We do not control those sites and are not responsible for their content, availability, terms or privacy practices. Our own software products are governed by their own terms and privacy policies, published with those products.

8. Disclaimer

The site is provided “as is”. To the fullest extent the law allows, we exclude all representations, warranties and conditions that are not expressly stated here — including any implied warranty of merchantability, fitness for a particular purpose, or that the site will be uninterrupted, error-free or free of harmful components.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded — including rights you may have as a consumer under applicable consumer protection legislation.

9. Limitation of liability

Subject to the paragraph above, we will not be liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profit, revenue, data, goodwill or anticipated savings, arising out of your use of this website. Our total aggregate liability arising from your use of this website is limited to CAD $100.

This clause is about the website. Liability for work we perform under a signed engagement is dealt with in that agreement.

10. Indemnity

You agree to indemnify us against claims, losses and reasonable costs arising from your breach of these terms or your unlawful use of the site.

11. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it. The courts of Ontario have exclusive jurisdiction, except that if you are a consumer resident elsewhere, you keep the benefit of any mandatory protections and any right to bring proceedings in the courts of the country where you live.

12. Changes

We may update these terms. The version in force is the one published here, with the date at the top of the page. Continuing to use the site after a change means you accept the updated terms.
